Negotiated agreements for leading consumer credit and payments company. Handled marketing, professional services, real estate and technology contracts, including software license, SaaS, hardware, implementation, support & maintenance, hosting and service level agreements. Key projects included acquisition of accounting integration software, research & development of proprietary credit card prototype and demonstration of biometric payment technology. Assisted in testing of, migration to and rollout of contract life cycle management software.
Represented preeminent e-commerce vendor and corporate supplier of custom, stock and editorial images, video and music content, and related software tools. Negotiated sales, licensing, revenue-sharing and other transactions, including for customers such as CBS, Cigna, Disney, JP Morgan Chase, Motorola, RIM, Walmart and Xerox.
Counseled global medical products company in the licensing-in of certain wound care patents, trademarks and know-how, and as to various business terms, for the negotiation of two exclusive North American distribution arrangements.

Key projects included transfer, replication or splitting of long-term agreements with integral consulting vendors and negotiation of cloud services for variety of administrative and marketing applications.
Assisted dessert and beverage maker in negotiation of exclusive North American manufacturing and license agreement for patented straw system used to deliver beverage flavorings. Also, advised regarding the negotiation of the representation and compensation terms for a financing advisor to seek certain loans on behalf of the company.

Revamped contracting playbook and templates for all procurement types, prepared privacy and data security guidance documents, handled regulatory compliance issues and negotiated procurement and intra-group agreements.
